Relationship. W.Kain & Company Consulting Firm, is an advisor, and acts as an Independent Consultant, we do not assume any fiduciary responsibility. Client accepts, and acknowledges receipt of W.Kain & Company Consulting Firms full Disclosure.

Independent Contractor.  W.Kain & Company Consulting Firm, role is an Independent Consulting Contractor, with respect to Client, and is not a hired employee of Client.

Confidentiality.  W.Kain & Company Consulting, agrees to maintain the Confidentiality of all Proprietary and, or Confidential Information disclosed by Client during the engagement, and shall not disclose such information to any Third Party, without the Client's prior, written consent. 

​W.Kain & Company Consulting Firm acts as a consultant, providing help, and recommendations.  W.Kain & Company Consulting Firm, cannot be held liable for any product purchases, or product system failures, loss of data, or other issues that may arise from Clients use. 

W.Kain & Company Consulting Firm, does not engage in contract disputes, or any third-party vendor and Client conflicts, or third party contractual talks, negotiations, and contract agreements the Client has entered into with vendor or vendor's.

W.Kain & Company Consulting Firm public website offers general  information, based on current technology, industry trends and best practices. We make no claims or representations and no Warranties, or Customer Guarantees.

No Legal/Financial Advice.  W.Kain & Company Consulting is not a Licensed Attorney, or Financial Advisor, or an Accountant, and does not provide any Legal, or financial, or tax advice. Any information, or recommendations we provide are for General Information purposes only, and should not be relied upon as a substitute for Legal Advice.

Indemnification. The Client agrees to indemnify, and hold harmless W.Kain & Company Consulting Firm from, against any and all claims, losses, and or liabilities, arising out of use or misuse of the Services provided.

No Guarantees of Results.  While W.Kain & Company Consulting Firm will use reasonable efforts to provide accurate, timely advice, there is no Guarantees made to Client regarding specific outcomes, performance, or results.   

Limitation on Liability. In the event of litigation, W.Kain & Company Consulting maximum liability shall be the amount of fees-paid by the Client to W.Kain & Company Consulting Firm for consultative, and services provided.

Third-Party Cooperation and Referral Arrangement.             W.Kain &  Company Consulting  Firm, may at its discretion, enter into cooperation, referral, and/or fee-sharing arrangements with vendor's or other industry service providers.

Consulting Fees. For any set-fee for consulting work and/or advice outside of the original Scope of Work, Service Agreement or outside of our standard consultation process. Client agrees to pay, W.Kain & Company Consulting Firm based on its current hourly rate of $500. If Client requests any additional Consulting Services from W. Kain & Company Consulting Firm Client will pay a retainer for any additional Consulting Services in the amount of $5,000., payable in advance. The retainer is refundable within 60 days, if it's unused. W.Kain & Company, shall bill first to the retainer. Upon depletion of the fees, retainer for Consulting Services are automatically billed to the Client payment method that's on file on a weekly basis.  And when the full outstanding balance exceeds the initial retainer amount, whichever occurs first.
